VISITOR'S AGREEMENT

TERMS AND CONDITIONS
Acceptance of these terms and conditions is required in order to continue usage of the Website. The terms and conditions of the Visitor's agreement may change without further notice.
1. Parties
This Agreement is entered into by Det Norske Veritas Certification Inc. ("DNV") and the relevant Client.

The information on this Website is for utilization by our clients. References to "You" and/or "Your" shall refer to relevant client and its employee utilizing this Website.
2. Registration/User Identification
In order to utilize this Website, You are required to register. Upon registering and verification of Your authorization to utilize this Website, DNV will issue a password and login identifier. You are responsible for maintaining the confidentiality of Your password and login identifier. You are responsible for maintaining the confidentiality of the user identity and all activities that occur under your user identity.

You agree to notify DNV of any unauthorized use of Your password or account or any other breach of security.

You must notify DNV in writing if You require issuance of new login and password which is recommended when Your employee or ex-employee is no longer authorized to access Your data.
3. Member and User Conduct
 You agree not use the Website in any way to send or transmit materials:
i) that are fraudulent;

ii) that infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights of rights of publicity or privacy;

iii) that violates any law, statute, ordinance or regulation (including but not limited to those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising.)

iv) that are defamatory, libelous, threatening or harassing;

v) that are obscene or contain any kind of pornography;

vi) that contain any viruses, Trojan horses, worms, time bombs, cancelbot or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;

vii) that might create liability for DNV or might cause DNV to lose (in whole or in part) the services of our Internet service providers or other suppliers.

viii) that interfere with ability of others to use our Website;

ix) that impersonate any other person or entity,

x) that link to or include descriptions of goods or services that (a) are prohibited under this Agreement; or (b) You do not have a right to link to or include.

Your use of the Website and any links available to You through this Website is limited to Your internal business purposes. Your commercial exploitation of such is strictly prohibited.
4. Restrictions of Use
You acknowledge and agree that DNV may terminate Your access to this Website should You fail to comply with this terms and conditions of the Visitor’s Agreement. Any such termination will be at DNV’s sole discretion and may occur without any notice.

DNV may also terminate access to this Website for any conduct that DNV, in its sole discretion, believes is or may be directly or indirectly harmful to other users, to DNV, its affiliates, contractors, or other third parties, or for any conduct that violates any local, state, federal, or foreign laws or regulations. Moreover, DNV reserves the right to terminate Your access to this Website at its option with or without cause and without notice.
5. Intellectual Property and Confidentiality
This Website shall at all times remain the sole property of DNV. You shall not release, disclose, copy, or duplicate any part of the Website whether for itself or for others, or permit such to be done. You shall not decompile, disassemble, reverse engineer, copy, create a derivative work, or otherwise use the Website except as stated in this Agreement.

This Website contains confidential information of DNV including but limited not to: client information, market research and strategies, surveying, testing and certification processes, procedures, methods, techniques, formulae and technical, statistical data, cost data, and other information and special data provided by DNV (“Confidential Information”). Confidential Information disclosed hereunder shall at all times remain the property of DNV. No license under any trade secrets, copyrights, or other rights is granted by this Agreement or any disclosure of Confidential Information hereunder.

You may not copy or reproduce any of the Confidential Information without prior written consent of DNV except for Your own purpose, and in performing Your own business; but may not sell or transfer such results and inventions to any third party.

Any material downloaded or otherwise obtained through the use of the Service is done on Customers own discretion and risk and Customer are solely responsible for any damage to computer system or loss of data that results from the download of any such material.
6. Disclaimer of Warranties
You agree that use of this website and any link from this website is at your sole risk. This website is provided on an “as is” and “as available” basis. DNV and its affiliates do not warrant the accuracy, completeness, currentness, non-infringement, merchantability, and fitness for a particular purpose of the information or applications available through this website and/or any linked website. Nor is the website guaranteed to be error-free, secure or continuously available or free of viruses or other harmful components.

You further agree that your use of any data or information obtained through this website and/or any linked website is at your own discretion and risk. You will be solely responsible for any damage you suffer resulting therefrom. Any material downloaded or otherwise obtained through the use of this website is done at your own discretion and risk and you are solely responsible for any damage to any computer system so affect by such or from loss of data that results from the download of such material.
7. Limitation of Liability
In no event shall DNV or any of its affiliates be liable to you or any other third party for any direct, indirect, special, incidental, or consequential damages or lost profits arising out of or related to this website or the use or inability to use the website, even if DNV has been advised of the possibility thereof. In no case shall DNV’s liability for any damages exceed the amount you paid DNV, if any, for the use of the website.
8. Severability
Whenever possible, each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under English Law as provided in Article 9.1, but if any provision of this Agreement is held to be illegal, invalid or unenforceable under present or future laws effective during the term hereof, then the legality, validity and enforceability of the remaining provisions of this Agreement shall not in any way be affected or impaired thereby.
9. Law
9.1 This Agreement shall be governed and construed in accordance with the laws of England.

9.2 Any dispute arising in relation to or as a consequence of this Agreement, which cannot be settled amicably through negotiations between the parties, shall be subject to the courts of England.
10. Assignment
You shall not assign, transfer, or sub-contract all or any of Your rights, benefits or obligation under this Agreement without DNV’s prior written consent.
11. Notices
You agree that orders, confirmations, approvals, instructions or active messages etc. sent to DNV shall be binding upon You and may be relied upon the by DNV provided You have been identified and verified by DNV. You shall always notify DNV without delay of any change of address (both postal address and electronic address), occurring during the validity of this Agreement.
12. Entire Agreement
This Visitor’s Agreement and any express additional terms (which will be identified as such when posted by us on our Website) contains all covenants, stipulations and provisions agreed upon by the parties as to the subject matter of this Agreement and supersede all prior agreements and understandings.
